Background

a visitor clicks on any such button, the respective product will be added to
the visitor's universal wish list on the Amazon.com site (located at
www.amazon.com) or any successor or replacement to web site (the "Amazon
Site"). To enable your web site to participate in Amazon's Universal Wish
List Program, You hereby agree to the following:
Agreement
1.               
Amazon's
License to You.
 We grant you a
revocable, non-exclusive, worldwide, royalty-free license for the duration of
the term of this Agreement to provide on your web site product pages "Add
to Wish List" buttons ("Buttons"). You may use these Buttons for
the sole purpose of adding products from your web site to Universal Wish Lists "Associated Content"). You
agree you will not alter the Associated Content.
2.               
Your
License to Amazon.
 You grant to
Amazon a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license
with the ability to sublicense to: (a) use, reproduce, perform, display and
distribute on the Amazon Site and on Amazon Associated Properties, and in
advertising and other marketing communications promoting the Amazon Site, any
copyrightable works you provide to Amazon (the "Works") (including
any trademarks that consist of text or that are embedded or incorporated into
the Works, e.g., a logo in a product image, to the extent you hold rights in
such trademarks); and (b) adapt, modify, re-format and create derivative works
of the Works, which derivative works are also subject to the license set forth
in clause (a). As used here, "Amazon Associated Properties" means
those web sites or other services, features or other online points of presences
through which the Amazon Site and/or products services available thereon are
offered, merchandised, advertised or described.
3.               
Use
of Buttons.
 You agree you will
not use Buttons in connection with products that violate the intellectual
property rights of third parties, are sexually explicit, or are otherwise
illegal. You may not re-sell, re-distribute, or sublicense the Buttons or
Associated Content to any third party.
4.               
Reservation
of Rights.
 Except for the
rights explicitly granted to you in this Agreement, all right, title and
interest in the Buttons and Associated Content are reserved and retained by us.
You do not acquire any ownership rights in the Buttons and Associated Content
as a result of downloading the Buttons and Associated Content.
5.               
Termination. The term of this Agreement will end when
terminated by either party. Either you or we may terminate this Agreement at
any time, with or without cause, by giving the other party written notice of
termination. Upon the termination of this Agreement for any reason, you will
immediately cease use of, and remove from your site, all Buttons, Associated
Content and all of our trademarks, logos, and all other materials provided by
or on behalf of us to you.
6.               
Modification. We may modify any of the terms and
conditions contained in this Agreement, at any time and in our sole discretion,
by posting a change notice or a new agreement on the Amazon site. Modifications
may include, for example, changes in the scope of available referral fees,
referral fee schedules, payment procedures, and Program rules. IF ANY
MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS
AGREEMENT. YOUR CONTINUED USE OF THE BUTTONS FOLLOWING OUR POSTING OF A CHANGE
NOTICE OR NEW AGREEMENT ON THE AMAZON SITE WILL CONSTITUTE BINDING ACCEPTANCE
OF THE CHANGE.
7.               
Press
Release.
 You may not issue
any press release with respect to this Agreement. Such action may result in the
termination of this Agreement. In addition, you may not in any manner
misrepresent or embellish the relationship between us and you, or express or
imply any relationship or affiliation between us and you or any other person or
entity except as expressly permitted by this Agreement.
8.               
Relationship
of Parties.
 You and we are
independent contractors, and nothing in this Agreement will create any
partnership, joint venture, agency, franchise, sales representative, or
employment relationship between the parties. You will have no authority to make
or accept any offers or representations on our behalf. You will not make any
statement, whether on your site or otherwise, that reasonably would contradict
anything in this Section.
9.               
Applicable
Law, Disputes.
 Among other terms,
conditions, and provisions, the choice of law and venue provisions set forth in
the Conditions of Use shall govern any disputes that may arise relating to this
Agreement.

Prohibited Seller Activities and
Actions
  • Do not list your item against a
    detail page with a different ISBN, UPC or other external identifier.
     Only list an item against a detail page with the
    same ISBN or UPC as your item.

    *Exception: Club editions of audio CDs should be listed against the detail
    page for the standard edition of the CD, even if the UPCs of the two editions
    are different, if the following criteria are met: 1) the content on both
    editions is identical and 2) a page with the UPC for the club edition does
    not already exist in the Amazon catalog. Use the listing comments
    to indicate that the item is a club edition.
     Format of the
    products (CD) must be identical. 
  • Do not deviate from the product
    format represented on a retail page
    . When listing your item, you must do so on the page
    with the same item, in the same format. For example, you may not list a
    cassette tape of U2's War with an Amazon.com CD of the
    same recording.
  • Be honest about the condition
    of your item
    . When
    listing an item, be careful to select the condition term that best
    represents the item you are posting to Amazon Marketplace. Furthermore,
    within the "Condition comments" field, please submit only
    information that relates to the condition of the Amazon Marketplace item
    you are selling.
  • Do not divert transactions or
    buyers
    . Any attempt to circumvent the
    established Amazon.com sales process or to divert Amazon Marketplace
    participants to another Web site or sales process is prohibited.
    Specifically, any advertisements, marketing messages (special offers) or
    "calls to action" that lead, prompt, or encourage Amazon.com
    users to leave the Amazon.com website are prohibited.
    Prohibited activities include the following:
    • The use of e-mail intended to
      divert customers away from the Amazon.com sales process.
    • The inclusion of hyperlinks,
      URLs or web addresses within any seller generated confirmation e-mail
      messages or any product/listing description fields that are intended to
      divert customers away from the Amazon.com sales process.
  • Limit your contact with
    transaction partners
    .
    Amazon.com encourages buyers and sellers to communicate with one another
    by e-mail during an Amazon Marketplace transaction. Contact between
    parties must be courteous and limited to transaction details. Facilitating
    inappropriate or unsolicited contact is a violation of our Community
    Rules.
  • Do not provide your e-mail
    address to buyers, and do not ask buyers for their e-mail addresses.
     Buyers and sellers may communicate with one
    another via the Buyer-Seller Messaging Service, which assigns unique
    Amazon-generated e-mail addresses to both parties. Sellers are prohibited
    from providing or soliciting direct, non-Amazon-generated e-mail addresses
    on the Amazon.com website or in correspondence through the Buyer-Seller
    Messaging Service.
  • Do not misuse ratings, feedback
    or product reviews.


    Any attempt to manipulate ratings, feedback, or product reviews is
    prohibited.
    • Ratings and feedback: The rating and feedback features allow buyers to
      evaluate the overall performance of a seller, helping sellers to develop
      a reputation within the Amazon Marketplace. You may not post abusive or
      inappropriate feedback or include personal information about a
      transaction partner. Please note that this also includes posting ratings
      or feedback to your own account. You may request feedback from a buyer,
      however you may not pay or offer any incentive to a buyer for either
      providing or removing feedback.
    • Product reviews: Product reviews are important to the Amazon
      Marketplace, providing a forum for feedback about product details and
      reviewers' experiences with products--positive or negative. You may not
      write reviews for products that you have a financial interest in,
      including reviews for products that you or your competitors sell.
      Additionally, you may not provide compensation for a review other than a
      free copy of the product. If you offer a free product, it must be clear
      that you are soliciting an unbiased review. The free
      product must be provided in advance; no refunds are permitted after the
      review is written. Product review solicitations that ask for only
      positive reviews or that offer compensation are prohibited. You may not
      ask buyers to remove negative reviews.
  • Delayed shipments or pre-sells
    are prohibited
    . Items
    offered through Amazon Marketplace must be shipped within two business
    days of the date the order confirmation is made available to you.
    Therefore, you should not list or match against items that Amazon
    designates as pre-orderable. It is also important to maintain accurate
    inventory records, as instances of "stock-outs" could be
    reflected in your seller feedback rating. If an item you are offering will
    not be available for immediate shipping upon order, either cancel the
    order or alert the buyer. Amazon will immediately cancel any seller
    listing for Books, Music, Video or DVD items that Amazon designates as
    pre-orderable.
  • Operating multiple seller
    accounts:
     Operating and maintaining
    multiple seller accounts is prohibited. If you have a legitimate business
    need for a second selling account, you can apply for an exception to this
    policy. 
    Contact Seller Support and choose "Other account issues" from
    the "Account Settings" section of the form. In your request,
    please provide an explanation of the legitimate business need for a second
    account. Also note that in order to be considered for approval, you must:
1.               
Have
an account in good standing with excellent Customer Metrics
2.               
Have
a separate e-mail address and bank account for the new account
3.               
Not
intend to sell the same products in both accounts
You’ll receive a response to your request within
2-3 business days.
  • Multiple sellers may not be
    aggregated into a single account, unless the aggregating entity is an
    Amazon subsidiary
    .
    In the interest of improving customer experience, every seller must be fully
    accountable for their customer-facing performance as measured by the 
    Amazon Seller Performance Plan. Each seller must either maintain their own account
    with Amazon, or sell through the account of an aggregating entity that is
    an Amazon subsidiary.
  • Do not misuse the Amazon
    selling platform
    :
    As a community, all sellers are able to access and use the Amazon selling
    platform. If a seller uploads excessive amounts of data repeatedly, or
    otherwise uses the platform in an excessive or unreasonable way, it can
    create a disproportional load on the platform and impair the ability of
    other sellers to easily access and use the platform.  If a seller is
    misusing or making excessive or unreasonable use of the Amazon selling
    platform, Amazon may in its sole discretion restrict or block access to
    product feeds or any other platform functions that are being misused until
    the seller stops its misuse.
